坐落于______的房产(以下简称本房产),面积______㎡,用途:住宅,房产证号:______,由乙方代甲方持有,甲方是该房产的实际产权人,现双方就甲方出售上述房产的有关事宜约定如下:


Room______Shenzhen (hereinafter referred to as “the Property”), built-up area:______㎡, residential purpose, Property Ownership Certificate No.:______. The Property belongs to Party A but hold by Party B, Party A is the actual owner of the Property. For Party A selling the property and in consideration of the foregoing (hereinafter referred to as “Transaction”), the parties agree as follows.


1、乙方积极配合甲方办理出售本房产的相关手续,包括签署相关文件、办理过户手续等,并签订《授权委托书》及办理公证手续,授权甲方指定第三人办理具体事项。乙方不得以任何方式抗拒、干涉、阻碍、妨害甲方出售本房产,不得擅自转让、设置担保物权等,且不得撤销该授权委托。因出售上述房产产生的有关税费等费用,由甲方自行承担。


1. Party B shall actively cooperate with Party A to handle the relevant procedures of Transaction, including signing relevant documents, cooperating with the property ownership transfer procedure, signing the Power of Attorney and notarization accordingly; also Party B shall authorize the third person to deal with corresponding matters which designated by Party A. Party B shall not, in any way, resist, interfere, obstruct or jeopardize the Transaction, shall not sell or set up guaranty, and shall not revoke the signed Power of Attorney. Party A shall bear the taxation fees related to the Transaction.


2、因本房产为乙方代甲方持有,甲方是本房产的实际产权人,因此房产转让价款或其他实益全部归甲方所有,如需以乙方名义代为收取的,乙方收取当日按照甲方的指示支付至______的银行账户。


2. Since Party A is the actual owner of the Property, Party B hold it for Party A, therefore the money of selling the Property (hereinafter referred to as “Transaction amount”) or any other benefits shall owned by Party A. If the Transaction amount needs to be transfered to Party B’s bank account, he shall transfer such amount to bank account of______under the instruction of Party A at the date of receiving it.


3、甲方将售房款10%作为乙方的报酬,由______在收取售房款后 2 个工作日内支付至乙方指定银行账户;如有逾期,则甲方应向乙方支付逾期付款违约金。


3. Party A shall pay 10% of the Transaction amount as Party Bs remuneration, which shall be paid to Party Bs designated bank account within 2 working days after the Transaction amount received by______. If any late payment happens, Party A shall pay the liquidated damages to Party B.


4、乙方保证在甲方处分本房产过程中,乙方及其近亲属全程积极配合甲方,协助办理相关事项,确保房产出售顺利进行,乙方保证其近亲属不对本协议相关事项产生争议纠纷。


4. Party B ensures that in the process of Transaction, will actively cooperate with Party A to deal with related issues along with his near relatives, ensure such Transaction will be smooth. Party B guarantees his near relatives will not arise any disputes or controversies in relation to this agreement.


5、甲、乙双方应积极履行本协议的有关约定,如有违反,需承担相应的违约责任。


5. Both parties shall actively perform the relevant provisions of this agreement. If there is any violation, they shall bear the accordingly liability for breach of contract.


6、因本协议引起的或与本协议有关的任何争议,应当由双方友好协商解决。协商不成的,任何一方均有权将争议提交海南仲裁委员会深圳仲裁进行裁决,一裁终局,败诉方承担受理费、保全费、律师费、差旅费等费用。


6. Any disputes or controversies arising from, or in connection with this agreement, shall be settled through friendly negotiation. If negotiation failed, such disputes shall be exclusively submitted to the Hainan Arbitration Commission Shenzhen Office. The Ruling made by the Arbitration Commission will be final, the losing party shall bear the expenses, such as the application fee, conservatory measures fee, legal fee, travel expenses and so on.


7、本协议有效期自双方签署之日起,至上述事项办结为止。


7. This agreement shall be valid and effective from its signature by both parties, until completion of such Transaction.


8、本协议经双方签字即生效;一式贰份,双方各执壹份,具有同等效力。
