国外医疗合同

Foreign Medical Contract

甲方: XX有限公司

Party A: XX Co., Ltd

乙方:

Party B:

XX有限公司致力于引进国外先进医疗器械和最新医疗技术,同时,也为中国高端病人赴国外进行人工关节置换提供咨询,协助服务。

XX Co., Ltd. is committed to introduce foreign advanced medical apparatus and instruments together with the latest medical technology. Meanwhile, it also provides consultation and assistance service for patients with high social status in China who need artificial joint replacement at abroad.

经双方友好协商,达成以下协议：

Both parties have reached the following agreement through friendly negotiation.

甲方义务

Obligations of Party A

1．甲方向乙方如实推荐欧洲或澳大利亚医院和专家,向病人提供的医院或专家信息必须真实。

1. Party A shall truthfully recommend hospitals and experts in Europe or Australia to Party B and information on the hospitals or experts shall be true.

2．甲方必须在本合同签订前,向乙方详细、如实介绍国外就医治疗的详细过程、费用构成等情况。

2. Party A must truthfully introduce the detailed process of medical treatment at abroad and fees structure to Party B before the signing of the contract.

3．甲方在签订本合同7个工作日内向乙方提供国外就医所需资料清单。

3. Party A shall provide the information list needed for medical treatment of Party B at abroad within 7 working days after signing the contract.

4．甲方负责将乙方资料翻译后转送国外专家,由专家根据乙方病情制定治疗计划,确定治疗日期,如果乙方不接受国外专家确定的治疗日期,由甲方协调乙方和国外专家,直到最终确定手术日期。

4. Party A is responsible for information translation which will be sent to foreign experts. According to conditions of Party B, experts prepare corresponding treatment plan and determine the treatment date. If Party B does not accept the date that foreign experts determine, then Party A shall conduct negotiation between Party B and foreign experts until the treatment date is finalized.

5．甲方陪同或协助乙方及家属申请出国护照（如需要）和所赴国签证（签证费用乙方自理）。

5. Party A shall accompany or assist Party B and his/her family member(s) to apply passport (if necessary) and visa of the country to visit (visa fee shall be borne by Party B).

6．甲方负责预定乙方及家属的国际及国内机票（机票费用乙方自理）。

6. Party A is responsible for booking international and domestic flight tickets for Party B and his/her family member(s) (the expense of air ticket shall be borne by Party B).

7．甲方负责乙方及家属的国、内外接送机。

7. Party A is responsible for providing airport pick-up service for Party B and his/ her family member(s) at home and abroad.

8．甲方协助（或预定）乙方及家属在国外的酒店（酒店费用乙方自理）。

8. Party A shall assist (or reserve) hotel for Party B and his/ her family member(s) at abroad (the hotel expense shall be borne by Party B).

9．甲方负责提供乙方整个住院治疗期间中国人员陪同服务（当地工作时间）,以方便乙方和当地医院及专家交流。

9. Party A shall provide escort service for Chinese people (based on local working hours) to Party B during the whole period of hospitalization, so that Party B can communicate with the local hospital and experts easily.

10．如乙方及家属在乙方出院后愿意继续留在当地做短暂旅游观光,甲方可以协助安排酒店及行程,但此部分费用由乙方自理。

10. If Party B and his/ her family member(s) want to have a short-time tour and sightseeing after Party B is discharged from hospital, then Party A can help them to arrange hotels and route. However, the fee shall be borne by Party B.

11．甲方须对乙方所提供的资料保密,不得透露给无关方面。

11. Party A must keep information provided by Party B confidential and shall not disclose that to unrelated parties.

12．人工关节置换虽然是非常成熟的手术,但正如任何手术都不是100%成功一样,人工关节置换也有相应的风险,比如术后感染,疼痛,深静脉栓塞,神经血管损伤等并发症或不良反应,发生这些情况的原因有多种,可能是手术本身的风险,假体质量原因,医生技术原因,病人自身原因等,如果一旦乙方术后发生任何问题,甲方有责任协助病人和手术医院和专家沟通,帮助乙方解决问题。如乙方同意,甲方也可向乙方推荐国内骨科专家进行咨询、治疗。

12. Artificial joint replacement is quite mature, but it also has risk for not any operation can be 100% successful. There may be complications or adverse reactions like postoperative infection, pains, deep vein thrombosis and neurovascular injuries, which might be caused by many reasons such as the surgical risk itself, quality of prosthesis, doctor’s skill and patient’s own conditions. Once there are any problems after the surgery of Party B, Party A is liable for helping patient to negotiate with the hospital and experts to solve problems. If Party B agrees, Party A also can recommend domestic orthopedic experts to Party B for consultation and treatment.

乙方义务

Obligations of Party B

13．乙方负责按照甲方提出的时间要求向甲方提供真实病史、检查报告等,如果由于乙方提供的资料不真实而影响到治疗结果,甲方将不承担责任。

13. Party B shall provide true medical history and medical reports and so on for Party A according to the time required by Party A. If therapeutic outcome is affected by untruthful information provided by Party B, Party A will not bear the responsibility.

14．一旦赴国外治疗日期确定后,乙方不得随意更改日期,如有特殊情况必须更改日期,必须获得甲方的书面同意,否则,甲方将不承担延误治疗的责任。

14. Once the date to go abroad for medical treatment is determined, Party B cannot change it at will. If the date must be changed for any special circumstances, the written consent of Party A must be obtained; otherwise, Party A will not bear the responsibility of delay treatment.

责任条款

Liability Clauses

1.甲乙方必须严格遵守按照本合同规定的义务。

1. Both parties must strictly abide by the obligations stipulated in the contract.

2.如果甲方违反本合同规定义务导致乙方赴国外治疗延期或取消,乙方有权利终止本合同,向甲方要求退还已收取的款项,并向甲方要求赔偿XX元人民币。

2. If Party A violates any obligation of the contract which leads to delay or cancellation for medical treatment of Party B at abroad, then Party B has the right to terminate the contract, require Party A to return charged payment and claims for RMB XX Yuan from Party A as penalty.

3.如果乙方违反本合同规定义务,如提供的资料不准确,或提供错误信息,或没有根据合同要求按时付款,造成赴国外治疗延期或取消,甲方将不承担责任,并有权终止本合同,并向乙方要求赔偿XX元人民币。

3. If Party B violates any obligation of the contract including providing inaccurate information, or wrong information or not paying on time according to the contract which lead to delay or cancellation for medical treatment at abroad, Party A will not bear the responsibility and has the right to terminate the contract and claims for RMB XX Yuan from Party B as penalty.

4.甲方只是乙方国外治疗的介绍、协助机构,负责安排、协调赴国外治疗事宜,完全不涉及也无权干涉乙方的住院治疗过程,所有的治疗方案、治疗过程、所用材料均由国外医院方面根据病人的情况决定,因此甲方不对乙方在国外治疗的结果负责。

4. Party A, an institution for introduction of foreign treatment and assistance, is responsible for arranging and coordinating medical treatment at abroad. It will not interfere and also has no right to interfere with hospitalization of Party B. All the treatment plans, therapeutic processes and information used are decided by foreign hospital according to the patient’s conditions. So, Party A is not responsible for the therapeutic result of Party B at abroad.

不可抗力

Force Majeure

不可抗力包括：国家或地方政府或权力机构的法律法规、决议、要求；不可阻挡的自然灾害或不受控制的环境变化包括当地的火灾、爆炸、罢工、劳资纠纷及战争等。

Force majeure includes: laws and regulations, resolutions and requirements of nations, local governments or organs of authority; irresistible natural disasters or uncontrolled environment changes including local fire, explosion, strikes, labour disputes and war.

未能履行本合同义务的任何一方应提供不可抗力事件的依据,对未能履行义务做出解释,可以被免除责任。

Any party failing to fulfil the obligations of the contract shall provide the basis for a force majeure event and explain the reason why, which can be exempted from liability.

然而,免除责任方应立即向另一方书面通知不可抗力的造成的影响,且应尽全力消除此影响,或合同双方重新商定各自的义务或取消合同。

However, any party exempted from liability shall immediately inform the other party the influence caused by force majeure in a written notice and shall do its best to eliminate the influence or renegotiate respective obligations by contracting parties or cancel the contract.

保密条款

Confidentiality Clause

甲方不得将乙方任何的个人信息及病史资料透露给任何人员和机构。

Party A shall not disclose any personal information and medical history of Party B to any person and institution.

合同起始和终止

Commencement and termination of the contract

本合同在双方共同签字后立即生效,乙方治疗结束回国后自动终止。

The contract comes into force immediately upon signature of both parties and terminates automatically after the end of treatment and Party B returns to China.
